Ethical and Socially Responsive Business

As the CEO of the Cheesecake Factory Incorporated based in Philadelphia, I would like to touch base on our code of conduct which outlines many different key areas for employees and employers. However, I wanted to stress some particularly significant points to discuss and review, with all members of Cheesecake Factory Incorporated. First off, I would like to touch on part B of section 2 under YOUR RESPONSIBILITIES – ‘Compliance with Laws’, particularly, our laws relating to sexual harassment, drug and alcohol abuse, diversity and nondiscrimination. Recently I was made aware of an incident involving an employee related to discrimination. Every employee of the Cheesecake Factory Incorporated, whether it be in our restaurants, Corporate Center, Bakery Production Facility and any other company facility, has the right to come to work every day and be treated fairly, and with respect. Our company will not tolerate any form of discrimination to any employee. An employee which is involved in the ‘harassment’ of another employee will be instantly terminated.

To help abide by the rules, regulations, and laws of The Cheesecake Factory Incorporated, my suggestion to all employees is to re-read the most up to date Code of Conduct and Guidelines about our business and re-familiarize yourselves with the significant aspects that outline our day to day activities. Next I am touching base on part H of section 2 under YOUR RESPONSIBILITIES which is ‘Posting Messages Regarding the Company on Internet Message Boards or Chat Rooms. It has come to my attention that employees are currently posting their comments and concerns regarding the company on Facebook and Twitter either from the company’s resources, or on their own time. Quoting this section on social media, “…personal opinions regarding the Company, should be wary of the danger that such opinions may imply inappropriate access to and dissemination of confidential, sensitive or proprietary information. Opinions concerning the Company that are expressed should clearly indicate that they do not reflect the opinion of the Company, its officers or management.” I understand social media is becoming a dominant force in advertising and expressing opinions, however you must be careful that your opinions do not help in destroying the company’s well known reputation.

If you have a concern about the daily activities in your job, the best thing to do is approach management with your concerns and opinions in substitute of posting them on the internet. Our company values its employees and we encourage everyone’s opinions and suggestions because we are always looking for ways to make this company better. We would like our employees to have a trusting and open communication with management and feel that they can approach management with any type of concern. On a brighter note, I would like to take this opportunity to mention some of our charities which our company has added. We are holding a charity dinner and fundraiser in the upcoming weeks. Tickets will be sold soon and all employees and family are welcome. This dinner’s proceedings will be donated to the Children’s Hospitals of Philadelphia. As you all are aware, our company hosts many charitable events and are involved in the community and we always do our part to be socially responsible. Your donations will be much appreciated and you will learn more on this event as it becomes near.

Also, in addition to our long list of charitable events, our activity committee is adding a special for senior citizens on a weekly basis where we will offer seniors a 20% discount on their lunch or dinner bill. Lastly, in accordance with our successful growth in revenue, we will donate on a quarterly basis, free lunch meals to our local hospital in the city of Philadelphia. Lastly this company could not be what it is, without its employees. You all are the foundation of this company and you all are great people. I would like to continue to have people in this company who have the desire to learn and grow. Have the trust in your management to support your opinions, treat your co-workers with respect and decency, and stay involved in the company activities and help our reputation become stronger and better.

Ethical and Socially Responsive Business

Describe key areas of the selected company’s code of conduct that are of significant importance to the business, and explain why.

The first question we should ask ourselves “what is ethics?” I think ethics are a collection of principles and practices that a business believes in, statements and more specific policies about conduct to give employees, partners, vendors, and outsiders an idea of what the corporation stands for and how it’s staff should conduct themselves . The Cheesecake Factory was established in the 1940s by Oscar and Evelyn Overton. In 1972 they open their first business store to Los Angeles, CA known as the Cheesecake Factory. Now The Cheesecake Factory has over 170 locations around the world. Having such a large corporation like Cheesecake Factory brings a lot of ethical and business problems when it comes to having such a large stores and staff.

We should always remember that everyone has their own set of moral ethics that they live by at tend to take those same ethics to the work place. When writing a code of ethics it is important that these will cover every staff member from the top of the corporation to the lowest lever employee. Key areas that are of significant importance to The Cheesecake Factory start with the general standards of conduct in how all its employees will be treated by fellow employees and by management. The standards deals the basic values that we all have, with the expectation of building trust, loyalty, honesty, respect, and a high level of professionalism within the company.

The cheesecake Factory has an established code of ethical conduct that is an essential factor in maintaining a proper balance in the human aspect of ethics and the link to the business success. Corporate leaders and managements need to be careful about their behaviors and how they make important decisions. Although all areas of the Cheesecake Factory’s code of ethical conduct is important for the success of the company, there are a few key areas of the company’s code of ethical conduct that are of significant importance for The Cheesecake Factory.

1-The first occurs in Article IV, in the “Conflicts of Interest,” section that pertains to transactions and investments. This specifically states that an officer or a director” should avoid participating in any transaction or investment that conflicts with, or gives the appearance of a conflict with, the interest of the company.”(Reference 1) This is key in maintaining ethics because a person who is in a leadership / management positions must be loyal to only their organization; otherwise, all decisions that are made and act are suspect as to the integrity of the choice, especially concerning money matters.

2- A second key area of The Cheesecake Factory’s code of ethical conduct that is of significant importance is in Article V, in the “Compliance with Company Policies and Procedures,” section that pertains to confidential information. It is very important and essential for the success of any company and business especially, the confidentiality of information, especially for third parties, be maintained. This leads to another key area that is also in Article V of the company’s code of ethical conduct. In the section that pertains to insider trading. In the section that deals with prohibiting insider trading it states that, “An officer or director shall observe the Company’s policy prohibiting trading on the basis of material, non-public information.”(Reference 1)

2.Explain the key steps that the company should take to ensure that employees follow the code of conduct. There are some key steps that a company can take in order to ensure the employees follow the code of conduct.

1-The Cheesecake Factory should have a “compliance department” that handles all disputes and investigations regarding violations of the code of conduct. This specific department at Cheesecake Factory should have designated employees that govern the entire company’s employees and handle any issues that arise.

2-The Cheesecake Factory can take to ensure the employees follow the code of conduct is to have each employee sign and date, the code of conduct when they hired and give it to the employee a copy and keep another copy in the employee files. This makes it possible for the employee and the company to be on the same page from the beginning of the working relationship. This process can repeat every year for the existing employees to follow the code of conduct.

3-The Cheesecake Factory can take to ensure the employees follow the code of conduct is complete mandatory “ Business ethics” training videos for new and existing employees every year. These videos make sure reminder of all employees’ business ethics and code of conduct.

3. Suggest three (3) ways in which the restaurant can engage in socially responsive activities in the community within which it operates

The Cheesecake Factory can engage many socially responsive activities in the local community.

1-The Cheesecake Factory can donate foods to local food banks, soup kitchens and homeless shelters. Restaurants always have extra food that does not used for any reasons or left over foods. As a respectful company being able to donate fresh food to shelters and feeding someone who is unable to have a meal, would be wonderful social responsive project and activity.

2-The Cheesecake Factory could engage in socially responsive activities in the community would be to help raise money for a local non-profit organizations, charities, children hospitals or cancer associates. This could be done by donating money, ask costumers to participate or fund rising which will show that the company is giving back to the local community in which it is a part.

3- The Cheesecake Factory could engage in socially responsive activities in the community would be to offer free meals to shelters for specified holidays, such as Thanksgiving and Christmas. 4- Also Cheesecake Factory could run campaign for “Local Food Drive” to contribute as a company and ask their costumers donate dry and canned foods to reach local families who needs help .This is one of excellent way of giving back to the local community.

Some of the key areas of Chipotle’s code of conduct that are of significant importance to the business is the integrity statement and the anti-discrimination, harassment and sexual harassment policy.

In the Chipotle’s Ethics and Conflicts of Interest Policy of the Integrity Statement, integrity is about being real and being honest. It means doing the right thing even when no one is watching. That means that you should do the same thing when your manager or co-workers is around or if they aren’t around. No matter what, each of them must accept personal responsibility for doing the right thing. Whether that means when someone is around or not. It also states that they should not accept gifts from competitors, suppliers, vendors, potential vendors, or business entities with which they are conducting business on behalf of Chipotle. When accepting gifts: they should never accept a gift unless it meets all of the following criteria: (1) it is not a cash gift; (2) it is consistent with customary business practices; (3) it is not excessive in value (i.e., is under $150); (4) it cannot be construed as a bribe or payoff; and (5) it does not violate any law or regulation.

If you are not sure whether a gift or proposed gift is appropriate, please discuss it with your Manager/Director, who may, in isolated cases, approve your acceptance of a gift that may otherwise have violated criteria (2) or (3). Each year, employees in management positions should be prepared to submit a statement disclosing any entertainment, gifts, or services that they or members of their staff have accepted. Any items that have been accepted must be reported at that time, regardless of whether they were previously discussed with your Manager/Director. Your Manager/ Director will determine if you may keep the gift, return it, or whether it should more appropriately become Company property. You should never offer, give, or provide a gift unless it meets the following criteria: (1) it is not a cash gift; (2) it is consistent with customary business practices; (3) it is not excessive in value (i.e., is under $150); (4) it cannot be constructed as a bribe or payoff; and (5) it does not violate any law or regulation.

Just like when receiving gifts, if you are not sure whether a gift or proposed gift is appropriate, discuss it with your Manager/Director, who may, in isolated cases, approve your giving of a gift that may otherwise have violated criteria (2) or (3). I think that this is important when receiving or giving gifts because you don’t want to lose your job over something so small. It is also a good idea to have something like this written down because for someone who doesn’t know any better, it will help them out a lot. You may accept entertainment invitations, such as business meals, if they are in line with accepted business practices, could not be constructed as potentially influencing your business judgment or creating an obligation on your part, and if public knowledge of your participation would not embarrass you or Chipotle. When such business activities occur frequently, such costs should be shared or paid for on reciprocal basis. You should always be professional.

Act professionally and conscientiously when making business decisions. Personal relationships should never interfere, or give the appearance of interfering, with business actions, judgments, or decisions. When making decisions, weigh all factors impartially and without prejudice and make all decisions solely based on merit. You should honor your agreements and do not encourage or interfere with other parties’ contracts or agreements. Avoid legal speculation or conclusions in your communications. And you should not discuss areas beyond your knowledge or expertise. This is really important because I think that you should act and be professional on any job that is out here. The Anti-Discrimination, Harassment and Sexual Harassment Policy states; Chipotle believes in the value of a diverse workforce, equal opportunity, and a workplace free of discrimination and all forms of unlawful harassment. Chipotle prohibits unlawful discrimination, harassment, and sexual harassment.

Employees who violate this policy may be disciplined up to and including termination. Chipotle strongly believes that employees and applicants for employment should be treated without regard to race, color, religion, national origin, gender, age, marital status, sexual orientation, gender identity, disability, veteran status, genetic information, or any other prohibited basis. This applies to all employment practices. At Chipotle, no form of harassment is acceptable. This includes joking remarks or other abusive conduct (including verbal, non-verbal, or physical conduct) that demeans or shows hostility. Sexual harassment is also prohibited because it may be intimidating or an abuse of power and it is inconsistent with their policies, practices, and management philosophy. Discrimination or harassment of an employee-whether by another employee, supplier, vendor, or customer-is strictly prohibited.

This policy I think is the most important because without this policy, so many people can harassed and scared to tell someone about it. Also the anti-discrimination policy is important because of the fact that a lot of women are discriminated against a lot of jobs out here because the mangers think that they aren’t fit for them. Some of the key steps that Chipotle should take to ensure that employees follow the code of conduct would be to have them read it when they are first hired. And then every 2 or 4 months they could give them tests on it to make sure they know and understand it. They can also make sure the managers are up to date on the code of conduct as well. Some ways in which Chipotle can engage in socially responsive activities in the community within it is operated. They can donate all their unused food to homeless shelters. They can do special deals for the senior citizens and for veterans other than Veterans Day. They can build customer relationships. They can do that by having loyalty programs. They must have good customer service or their customer’s will not return.

Ethical and Socially Responsive Business

Chipotle Restaurant first opened its door in 1993 (www.chipotle.com) in Denver Colorado by Steve Ells. There are currently 1600 franchised restaurants in the United States, Canada and the United Kingdom specializing in burritos and tacos. Careers range from accounting and management, information technology, cashiers and cooks. The success of any business, particularly the restaurant industry relies heavily on its code of ethics. Chipotle has an “open door” policy of which any of its employees who feel that any of its code of conducts is being violated are free to partake in. As the CEO of Chipotle, there are several key areas in Chipotle’s code of conduct significant to its success. Chipotle will do its best to protect the privacy of its employees who decide to partake in its open door policy. Some of those key areas relating to Chipotle’s code of conduct include: 1. Anti-Discrimination Policy- Chipotle believes that all of its employees should be treated with respect regardless to race, religion, national origin, disability, origin, gender, marital status or sexual orientation (ir.chipotle.com).

The also applies to its hiring practices, as well as pay, performance reviews, training advancements and the ability to advance. 2. Sexual Harassment Policy- Chipotle strictly prohibits such behaviors posed upon any of its employees, male or female. Sexual harassment encourages intimidation and could lead to abuse of power. Chipotle defines sexual harassment as unwelcomed sexual advantages, requests for sexual favors, and other verbal and nonverbal conducts sexual in nature. Examples of this type of behavior include verbal comments regarding physical body parts and jokes that are verbally offensive. 3. Discrimination Policy- Chipotle stands firm this policy and includes discrimination of race, religion, national origin, gender, age, marital status, sexual orientation, gender, and any other discrimination practice and like the anti-discrimination, applies to its hiring practice, pay, performance reviews, training and the ability to advance (ir.chipotle.com). It is every employee’s responsibility at Chipotles to ensure that each code of ethics is being carried out and any such violation must be reported.

Every employee is expected to use good judgment and act reasonable and responsible and avoid potential conflicts that may interfere with the day to business of Chipotle. However, it is the responsibility of those in management to enforce the rules. As soon as management sees for them self or receives confidential information regarding any ethical violation, management should immediately respond to that violation by informing their immediate supervisor/ director. Behaviors such as sexual harassment and discrimination may be grounds for immediate dismissal. Chipotle will also take actions against management that fail to recognize any ethical violation upon its employees. There are several ways Chipotle can engage in socially responsible behavior within the communities they operate.

This can be achieved by donating a portion of their profits to the communities they operate out of. An example would be Chipotle pledging to donate a percentage of all orders for carne burritos to the local community center. Chipotle can also help the communities they operate out of by offering each employee paid time off for agreeing to volunteer for specific tasks performed throughout the community. An example of employee volunteerism is offering all employees two hours paid time off per quarter for volunteering to assist with the grounds maintenance at the local elementary schools. Lastly, but not least is through the offer of employee incentives. Employees can receive bonuses for meetings the company’s goal for reducing energy costs for the quarter.
